PRIVACY NOTICE

In order to give a legitimate, controlled and informed treatment to your personal data that you currently provide us or in the future and that are in our databases, or that have been collected by cookies, or any other web tracking technology, as well as to ensure your privacy and your right to informational self-determination when providing such data, being Hilos responsible for the use and protection of your personal data which will be treated based on the principles of legality, consent, information, quality, purpose, loyalty, proportionality and responsibility provided by law.

USE OF INFORMATION

The information you provide us through access, registration and creation of User profile on the Site and / or the Platform, and / or email, and / or filling out forms or physical or electronic surveys, in real or historical time, will be processed and sorted, to generate data indicators, which Hilos can use to make decisions relevant to your business. All information that is collected will be used for statistical purposes, in a generic and non-personalized manner, and will be associated with the growth, maintenance and administration of Hilos, respecting your privacy at all times. These uses include our internal operations and administration, communicating with you and fulfilling requests for services and/or products provided by Hilos, as well as to improve, develop, enhance and provide the services of Hilos, through its related parties, affiliates, or authorized suppliers and/or business partners, establishing the appropriate measures in order to limit the use of the information collected from you, only for legal and authorized purposes in accordance with this Notice, as well as with the appropriate confidentiality and security measures.

Hilos may also collect your Internet Protocol (IP) address to help diagnose problems with Hilos ' server and to administer the Site and the Platform. An IP address is a number that is assigned to your computer when you use the Internet. Your IP address is also used to help identify you within a particular session and to gather broad demographic information. Hilos may make use of "push" technology through the application Hilos uses to send notifications with prior authorization from the User. This means of communication does not have any access to other functions or information on the computer with which you connect to the Site. The information may include the URL they come from (whether or not they are on the Site), what URL they then access (whether or not they are on the Site), what browser they are using, as well as the pages visited, searches performed, posts, commercial preferences, messages, etc.

USE OF COOKIES

Hilos informs you that, through the use of cookies and similar technologies, it seeks to ensure the best possible experience on the Site and/or the Platform, by providing you with personalized information, remembering your service and marketing preferences and helping you to obtain the appropriate information. Should you require further information regarding the use of cookies and similar technologies, Hilos makes available to you the Cookie Usage Policy.

1. PERSONAL DATA REQUESTED 

Hilos, and/or its controlling companies and/or affiliated companies and/or subsidiaries and/or related parties (the "Related Third Parties") and/or those third parties that, due to the commercial relationship with Hilos have contracted the use of the Platform to complement their business proposal and have the need to treat and/or use their personal data (the "User"), requests and obtains personal data in general, as well as personal data considered sensitive by the Law (hereinafter "General Personal Data" and "Sensitive Personal Data", respectively; and collectively referred to as the "Personal Data") from the persons hereinafter described.

Sensitive Personal Data may be requested by electronic or physical means, in the understanding that all information provided in physical form will be considered and treated as if it had been provided and authorized on the Site and/or the Platform, and therefore will be governed by this document.

In all cases, the collection of Personal Data by Hilos is carried out in good faith and for the purposes set forth herein; therefore, it is presumed that the data provided by its owners are true and complete, so they are the responsibility of the owner who provides them.

The Personal Data that will be collected from Users, responsible for the processes of application, selection, acquisition and administration of the services provided on the Site and/or the Platform (the "Services") as well as that information that is collected by Hilos through the use of the Platform, consists of personal information that is included or may be included in formats, lists, databases or other physical and/or electronic means, as appropriate, in order for Hilos to provide the Services and consolidate the catalog of procedures and services that the User performs through the Platform.

1. PLATFORM USERS. The Personal Data that will be collected from Users who make use of the Platform are necessary to document the commercial and legal relationship that exists or may exist with each of them. The Personal Data that you will provide voluntarily and freely to Hilos, consists of information that is included or may be included in contracts, letters, forms, lists, databases or other physical and/or electronic media, as appropriate, so that Hilos can document the relationship between the parties, the process of use and selection that you make or will make of the modules that make up the Platform Services, as well as to fully comply with internal policies, procedures and other legal obligations applicable to Hilos.

The Personal Data that will be requested to the Users for their registration as User in the Platform are the following: 

• Full name;
• phone;
• address; 
• e-mail; and
• cell phone number.

2. PURPOSES OF THE PROCESSING OF PERSONAL DATA

Personal Data provided to Hilos through the Platform will be used as mentioned above, for the purpose of:

1. Perform data processing to create a record of the Clients and Service Modules that you use, administer or manage through the Platform;  
2. That the User can manage, operate, administer and monitor the business relationship; and 
3. Process the bank details to make the payment of purchase orders and/or any business transaction, through the payment engines provided by the platform.

Once the purposes of the processing of your Personal Data have been fulfilled, and when there is no legal provision to the contrary, Hilos will proceed to the cancellation, deletion and/or destruction of the Personal Data received, in the terms established by the Law.

The treatment that the User as the payment engines arranged by the User, shall be subject to the terms and conditions of the User's Privacy Notice as those contained in the website of the third party performing the payment engine services.

‍

3. TRANSFER

TRANSFER OF PERSONAL DATA AND INFORMATION. The Personal Data referred to in this Notice may be transferred to: (i) Related third parties and/or commercial allies, in order to enhance the value proposition of Hilos, as well as to offer you, based on your needs, other products and services; (ii) Judicial authorities, Mexican and foreign, in order to comply with the Law, legislation, notifications, requirements or judicial orders; (iii) To Internet service providers on which the technological infrastructure of Hilos is mounted; and/or (iv) to technical support service providers of the Platform. In case of any transfer of your Personal Data, in which your express consent is required, we will inform you in order to obtain it.

In all cases, Hilos will communicate this Privacy Notice to these third parties and will ensure through the signing of agreements and / or the adoption of other binding documents, that such third parties maintain the necessary administrative, technical and physical security measures to safeguard your Personal Data, and that such third parties only use your Personal Data for the purposes for which they were collected. Also, both the User as responsible for collecting the Personal Data and Hilos that facilitates through the Platform the collection and processing thereof, as well as any other person related to Hilos who has access to the information contained in this Privacy Notice, shall be obliged to protect it under the same standards of security and confidentiality, and not to disclose or misuse it, or otherwise be liable in accordance with applicable laws.

Notwithstanding the foregoing, Hilos will not transfer your Personal Data to third parties unrelated to Hilos, except in the cases mentioned above and those provided by law, without your prior consent.

4. MEANS AND PROCEDURES FOR THE EXERCISE OF ARC RIGHTS 

You, as the owner of the Personal Data provided to Hilos, may request at any time, the exercise of your rights of access, rectification, cancellation or opposition (the "ARCO Rights") to the processing of your Personal Data, consisting of: (i) access your Personal Data and the details of the processing thereof; (ii) rectify your Personal Data in case they are inaccurate or incomplete; (iii) cancel your Personal Data when you consider that they are not required for any of the purposes stated in this Privacy Notice, are being used for non-consensual purposes or your contractual or service or other relationship with Hilos has ended; and (iv) oppose the processing of your Personal Data for specific purposes.

For this purpose, you must follow the process of submitting your request in writing to Hilos, or send your request to Email, as applicable, which must contain, at a minimum, the following information: (a) Your full name and address, or other suitable means to communicate the response to your request; (b) The documents that prove your identity or, if applicable, that of your legal representative; (c) The clear and precise description of the Personal Data with respect to which you seek to exercise any of the aforementioned rights; and (d) Any other element or information that facilitates the location of the Personal Data, as well as any other document required by the current regulation at the time of submitting the request. You may also request further information about the procedure to exercise your ARCO Rights by e-mail.

The response to your request will be given to you by Hilos in the terms and deadlines established in the Law. However, you may obtain more information about the status of your request and the deadline for responding to it, by contacting Hilos or sending your request to the Email, where they can also address any questions or concerns you may have regarding the processing of your Personal Data and the exercise of your ARCO Rights.

5. REVOCATION OF CONSENT; LIMITATION OF USE AND DISCLOSURE OF PERSONAL DATA  

You may also revoke, at any time, the consent you have given to Hilos for the processing of your Personal Data, as well as request to limit the use and disclosure of the same, as long as it is not prevented by a legal provision. For this purpose, you must submit your request in writing to Hilos, or send your request to the Email, as applicable. Such request must comply with the same requirements mentioned in Section 4. above.

The response to your request will be given to you by Hilos in the terms and deadlines established in the Law. However, you may obtain more information about the status of your request and the deadline for responding to it, by contacting Hilos or sending your request to the Email, where they can also address any questions or concerns you may have regarding the treatment and these rights that apply to you with respect to your Personal Data.

In the event that your Personal Data had been submitted prior to the date of revocation of consent, and continue to be processed by Hilos' employees, Hilos will inform the latter of such revocation, so that they may proceed to take the appropriate action.

6. CHANGES TO THE PRIVACY NOTICE

Hilos reserves the right to modify and/or update this Privacy Notice, in any or all of its parts, at its sole discretion, in which case it will communicate it right here through its Site and/or the Platform; and, depending on the particular case of each holder, through its internal networks, or by means of a notice that will be placed in the usual means (physical or electronic) of communication of Hilos and in a visible place at the Address, or by means of a written notice addressed to your e-mail, as legally required.

7. DIGITAL, ELECTRONIC OR ONLINE FORM

The Parties agree that the form to perfect the agreement of wills between them may be in Digital, Electronic or Online format, where it will be sufficient to express their will by means of their acceptance, as well as to provide personal data, in the Hilos Site itself without the need to sign any document.

TERMS AND CONDITIONS OF USE OF THE SOFTWARE "HILOS"
THROUGH A DIGITAL PLATFORM OR WEB APPLICATION.

The following Terms and Conditions of Use (the "Terms") constitute the entire agreement between
11 Tecnologías, S.A.P.I. de C.V., its affiliates and/or subsidiaries, and/or its related parties ("Hilos"), who is the legitimate
owner or authorized to market and use the "Hilos" Software for access via web or through the
mobile application (the "Platform") with address at Paseo de la Reforma No. 404, Piso 1 Interior B, C.P. 06600, Juarez, Ciudad de
Mexico, ((the "Address"), email addresshilos andhilos(collectively, the "Site") and contact email
hilos(the "Email"); and the individual and / or legal entity accessing it. The
use of the Platform, by any person, confers the quality of user (the "User") and this implies its
full and unconditional adherence to these Terms.
1. OBJECT
Hilos makes the Platform available to the User, a technological tool of automated messages for the
instant messaging platform called "WhatsApp
TM
" ("WhatsApp"), in order to facilitate the creation, sending and
administration of messages and whose information is provided by Hilos, or by persons linked directly or
indirectly with it (the "Content"), same which is hosted in the cloud (as defined below), through the use of
electronic digital devices, such as: computer, smartphone, tablet, etc. (the "Services"). Notwithstanding
the foregoing, Hilos does not guarantee the effective resolution of all of the User's needs.
The Services are provided on a Software as a Service (the "SaaS") basis, which implies that the User receives the
services in the cloud (as defined below), through monthly plans, with direct and recurring charge the
credit cards, debit cards or certain payment engines, as chosen by the User when registering on the Platform. The
Services available to the User, whose particulars are those set out in the following section, according to the plan
you chose when registering and registering on the Platform, contain the following components:
a. "Inbox". This component allows the User to communicate and view the manual and
automated conversations with its users that pass through its WhatsApp API connection.
b. "Flows". This component allows the User to create WhatsApp inbound, and outbound automations,
taking the templates he created in his Meta
TM account
, and allows him to connect these automations with others.

c. "Integrations". These components allow the User to connect with any other systems they already use,
such as their CRM, or other services to send and receive data between Hilos and the connected services.
d. "Contacts". This component allows the User to view and edit all the information related to the
contacts with whom he/she has been in communication or uploaded to the platform.
e. "Broadcasts". This component allows the User to send mass messages to his clients in a personalized way
, choosing a template and indicating the numbers that should receive it and their variables.
f. "APIs". This component allows the User to connect with Hilos through various endpoints, to start
automations or WhatsApp messages, update contacts, send data, or receive data among others.
g. "Analytics". This component allows the User to visualize the performance of its automation flows, and the
performance of its work team and the conversations it is having with its users.
The User agrees that Hilos will at no time be responsible for the performance of the WhatsApp integration or
any integration that is used for the fulfillment of the object, by virtue of the foregoing, the latter releases Hilos from
any liability for such reason.
Likewise, the User agrees to comply with each and every one of the procedures that the applicable laws indicate, regarding
to the acquisition of online or digital services; and, for its part, Hilos undertakes to respect and enforce the
rights of the User and give a correct use to the data collected for this purpose, according to the Notice of
Privacy found on the Platform.
2CONTRACTUAL USE OF THE PLATFORM.
Under these Terms, Hilos authorizes and grants the User the use and enjoyment of 1 (one) license to use the
Platform for personal use, which involves the registration and access of the same. This grant is made under the
mode "as is", temporary, non-exclusive, non-commercial and non-sublicensable, for the acquisition of the
Services.
The Services that the User may acquire through the Platform (and chose when creating your user and
password), are arranged in plans containing a range of services tailored to the tastes and needs of
User, which are described hereinafter:
a. Plan "Launch", which includes:
i. The possibility of contacting up to 1000 (one thousand) contacts each month;
ii. The possibility of adding up to 3 internal users;
iii. An unlimited number of messages per contact;

iv. Native integration with HubSpot
v. Apps for Android and iOS;
vi. Basic steps in flows (automation); and
vii. Basic support for using the Platform.
b. "Scale" Plan, which includes:
i. The possibility of contacting up to 5000 (one thousand) contacts each month;
ii. The possibility of adding up to 6 internal users;
iii. An unlimited number of messages per contact;
iv. Native integration with HubSpot;
v. Apps for Android and iOS;
vi. All steps in flows (automation); and
vii. Basic support for use of the Platform.
c. "Agents" Addon, which includes:
i. Additional company agents that can log into the Platform, to manage and send
messages within the Platform, each month.
d. "Contacts" addon, which includes:
i. Additional contacts (unique phone numbers) to whom the company can send or from whom it receives a
message each month.

e. "Additional Lines" addon, which includes:
i. A phone number connected to WhatsApp in addition to the one included that the company can use with
Hilos

Referrals. The User may recommend the Platform to new customers (hereinafter referred to as the "Referred Customer(s)
"). In this case, both the User and the Referred Customer who registers and contracts a Hilos subscription for
first time to the Platform, will get a discount on the next invoice of $99 USD. Such discount will be applied to
the next monthly fee charged to the User and the Referred Customer. The discount will apply only if the Referred Customer (i)
has not been in contact with Hilos by e-mail, Whatsapp, Slack
TM
, Linkedin
TM
, (ii) has not scheduled a demo with an agent.

Hilos or (iii) has not been on the Hilos CRM.
Electronic Contracting. User acknowledges that use of and access to the Platform includes the ability to enter into
contracts to purchase the Services and/or to conduct transactions electronically. Therefore, the User acknowledges that
electronic submissions constitute his or her acceptance and intent to be bound and pay, in a timely manner, for such services and
transactions. Such obligation shall be deemed applicable to all records relating to all transactions that are
made through the Platform and Services, including cancellation notices, usage policies, contracts and
applications.
Hosting. Hilos will host the Licenses in the cloud of your choice (cloud means processing space and
storage of data and applications on physical servers that are in a third party Data Center). The
hosting has adequate availability. Notwithstanding the foregoing, Hilos shall not be liable for any downtime,
total or partial lack of availability, or total or partial loss of data.
Accuracy of Data. The User acknowledges that Hilos will not conduct any investigation to validate the accuracy and veracity of
the data provided by the User, so that in case of omissions, inaccuracies or errors, releases Hilos from any liability
, with respect to any damage or harm that such acts may cause.
Validity. It is understood that the subscription to the Services will be valid indefinitely, until there is a
instruction of cancellation, blocking or cancellation by the User, which must be requested in writing to the e-mail
. Notwithstanding the foregoing, the charges corresponding to each Service will be generated from
in accordance with the time period specified for each one, as long as it is not cancelled in the terms described
in this paragraph. If User cancels the Services, User shall pay for the Services that have been provided up to the effective date
of termination.
Termination. Hilos, in its absolute discretion, may terminate the Services, at any time, with a simple written notice to
. User must contract the services of a Hilos provider within 30 days
following termination (360 Dialog, or Cloud API); otherwise, Hilos is obligated to terminate the number used
by User within the WhatsApp platforms.
Price. User will pay Hilos for the Services chosen upon login to the Platform. The price of the Services are those that
in are described in the pricing section on the website of Hilos, in the understanding that they may vary from
time to time, and at the sole discretion of Hilos, so Hilos shall not be liable for any impairment that such
alteration of price could cause the User.
Payment Methods. The User agrees to pay for the Services in the current currency of the United States of
America; in the event that the User wishes to be charged for the Services in the current currency of the United States of
Mexico, the provisions of the applicable payment engine shall apply. The payment of the Services, including
any applicable tax, will be made through the payment engine "Stripe
TM
" ("Stripe"), by means of a monthly charge.

recurrente. Hilos, para comodidad del Usuario, ofrece diferentes modalidades de pago que deberá elegir al crear su Usuario
y contraseña, siendo estos: (i) Cargo directo a tarjeta de crédito; (ii) Cargo directo a tarjeta de débito, ambos realizados
mediante el motor de pagos de Stripe. Los cargos aquí mencionados se realizarán de manera mensual recurrente, hasta
existir un aviso por escrito del Usuario, donde solicite el cambio de forma de pago o, en su caso, la cancelación de los
Servicios; situación en la cual el Usuario deberá cumplir con su obligación de pago aplicable al periodo mensual donde se
haya manifestado el deseo de cancelación.
El Usuario, como único responsable del pago oportuno de los Servicios, se obliga a proporcionar datos reales, válidos y
vigentes al motor de pagos, donde se realizará el cargo mensual recurrente. De igual manera, el Usuario declara y garantiza
en este acto que los recursos económicos que serán invertidos para el pago de todas y cada una de las obligaciones
conferidas en este documento, provienen de fuentes y/o actividades lícitas. En caso de que Hilos, a través del motor de
pagos, no puedan realizar el mencionado cargo al motor de pago elegido por el Usuario, Hilos se reserva el derecho de
revocar o restringir el acceso del Usuario a los Servicios hasta en tanto el pago sea realizado en su totalidad.
Cualquier cargo operativo, o tasa establecidos por los servicios ofrecidos a través de servidores o portales de terceros
(motores de pago o bancos), están completamente regulados por términos y condiciones dispuestos por dichos terceros o
por las leyes aplicables, por lo cual el Usuario deslinda en este acto a Hilos de cualquier responsabilidad respecto a la
forma, tiempo y cantidad en que sean efectuados los cobros, aún cuando dicho cobro sea considerado excedido, indebido
o que viole algún derecho del Usuario. De esta forma, el Usuario se obliga a mantener en paz y a salvo en todo momento a
Hilos de cualquier proceso judicial que se llegare a entablar por razón del uso de servidores o portales de terceros.
Cualquier cambio en la forma de pago del Usuario, deberá ser realizado en línea. Dicho cambio podrá generar la
interrupción temporal del acceso a los Servicios, mientras se realiza la verificación de la nueva información otorgada. El
Usuario reconoce y acepta que Hilos podrá usar los servicios de cobranza de terceros, con fines de cobro de cualquier
adeudo pendiente de pago por razón de los Servicios, para lo cual, el Usuario se obliga a colaborar de buena fe para la
liquidación total de los adeudos.
Facturación. En caso de que el Usuario requiera comprobante fiscal, deberá solicitar el mismo por escrito al Correo
Electrónico para que este sea generado. Es condición imprescindible para la emisión de dicho comprobante, que el Usuario
compruebe fehacientemente el pago de los Servicios en cuestión. El Usuario acepta que Hilos podrá contactarle
periódicamente, vía correo electrónico a la dirección de correo electrónico asociada a su cuenta de registro, con avisos de
facturación y otras comunicaciones relacionadas con los Servicios, ya sean de: i) Promoción de productos propios o de
terceros; ii) Mejora en el servicio; iii) Cambios en los Servicios, etc.
3. USO Y ACCESO A LA PLATAFORMA
Para acceder a los Servicios, es necesario ser mayor de edad y proporcionar la información requerida para crear una
cuenta, de tal manera que es responsabilidad del Usuario mantener la información verídica, exacta, actualizada y disponible.
La falta de actualización de su cuenta dará lugar a que no pueda acceder y utilizar los Servicios, así como la suspensión o
cancelación de esta.
4. USO DE OTROS PRODUCTOS Y SERVICIOS
Los componentes o las funciones de los Servicios, incluidos aquellos que implican la compra y descarga de productos o
servicios adicionales, requieren un software diferente u otros acuerdos de licencia o términos de uso, por lo que el Usuario
deberá leer, aceptar y obligarse a aquellos términos de uso establecidos, de manera independiente, como condición para
poder utilizar estos componentes o características particulares del Servicio.
5. IMPRECISIONES DE LA PLATAFORMA
El Contenido de la Plataforma y/o de los Servicios provistos, pueden contener inexactitudes y/o errores tipográficos. Hilos
no garantiza la exactitud del Contenido y se reserva el derecho, a su entera discreción, de corregir cualquier error u omisión
en cualquier parte de la Plataforma y/o los Servicios y a realizar cualquier cambio en las características, funcionalidad o
Contenido en cualquier momento. Hilos, así como cualquier persona relacionada y/o afiliada a Hilos, incluyendo, sin limitar,
directores, apoderados, representantes, administradores, empleados, accionistas y/o agentes, presentes o anteriores, o
aliados, no serán responsables de errores u omisiones en los Contenidos de la Plataforma.
6. ESTANCIA EN LA PLATAFORMA
El Usuario es el único responsable frente a Hilos, y cualquier tercero, respecto de su conducta al acceder, consultar y
proporcionar información en la Plataforma y de las consecuencias que se puedan derivar de una utilización, con fines o
efectos ilícitos o contrarios al objeto de la Plataforma, su contenido, elaborado o no por Hilos, publicado o no bajo su
nombre de forma oficial; así como aquellas consecuencias que se puedan derivar de la utilización contraria al contenido de
estos Términos que sea lesiva de los intereses o derechos de terceros, o que de cualquier forma pueda dañar, inutilizar o
deteriorar la Plataforma e impedir el normal disfrute de otros Usuarios.
7. RESPONSABILIDAD RESPECTO A LOS CONTENIDOS
Uso correcto de los Contenidos. El Usuario se compromete a:
a) Utilizar la Plataforma y sus Contenidos de acuerdo a las leyes aplicables y de orden público, absteniéndose de

realizar acto que menoscabe, deteriore, inutilice o dañe la imagen y/o información divulgada por Hilos o de alguna
manera lesione derechos o intereses de terceras personas, vinculadas directa o indirectamente a éste;
b) No copiar, difundir, modificar, reproducir, distribuir o utilizar de manera alguna con o sin fines de lucro los contenidos
y los elementos utilizados en la Plataforma, a menos que se cuente con la autorización expresa y por escrito de
Hilos;
c) No modificar o manipular las marcas, logotipos, avisos comerciales, nombres comerciales y signos distintivos en
general de Hilos, de la Plataforma o de las personas vinculadas con Hilos (salvo que cuente con su autorización
por escrito);
d) Suprimir, eludir o modificar los Contenidos y los elementos utilizados en la Plataforma, así como los dispositivos
técnicos de protección, o cualquier mecanismo o procedimiento establecido en la Plataforma.
Queda excluida de los puntos anteriores, aquella información generada a través de la Plataforma para uso y manejo del
Usuario, misma que podrá ser impresa y/o copiada para los intereses que más convengan al mismo. En caso de que el
Usuario sea una persona moral, se apegará a lo dispuesto por el artículo 148, fracción IV de la Ley Federal del Derecho de
Autor. El Usuario reconoce y acepta que el uso de la Plataforma y de los Contenidos, es bajo su exclusiva y estricta
responsabilidad, por lo que Hilos no será, en ningún momento y bajo ninguna circunstancia, responsable por cualquier
desperfecto o problema que se presente en el equipo de cómputo (hardware) o programas de cómputo (software) que utilice
el Usuario para acceder o navegar en cualquier parte de la Plataforma.
Hilos tiene derecho a realizar, durante intervalos temporales definidos, campañas promocionales para promover el registro
de nuevos miembros en la Plataforma. Hilos se reserva el derecho de modificar los términos y condiciones de los Servicios,
así como de proceder a la exclusión de cualquiera de los mismos. Hilos declara que todos los Contenidos, y los elementos
utilizados en la Plataforma, se encuentran debidamente registrados y protegidos bajo las autoridades y leyes
correspondientes en México. El Usuario se obliga a respetar todos los derechos contenidos en el Aviso de Derecho de Autor
establecido en la Plataforma.
Plataforma y contenidos ajenos a la Plataforma y a los Contenidos de Hilos. Hilos podrá hacer uso de su derecho de
publicación de cualquier material informativo y/o de sitios o subsitios propiedad de terceros, vinculados o no a HIlos, que
considere de interés para los Usuarios. No obstante lo anterior, Hilos se deslinda de toda responsabilidad, del acceso y/o
uso que realice el Usuarios de la información ahí contenida y/o del uso, origen y destino de la información que se desprenda
de ligas distintas (vínculo, hipervínculo, link). Toda publicación realizada dentro de la Plataforma, por parte del Usuarios, no
genera obligación de pago ante terceros por razón de promoción, publicación y/o manejo de información y/o imagen, a
menos que se cuente con un contrato previamente firmado con Hilos.
Negación y retiro de acceso a la Plataforma y los Contenidos. Hilos se reserva el derecho a negar o retirar el acceso a la
Plataforma, o sus Contenidos, en cualquier momento, sin responsabilidad alguna para Hilos y sin previo aviso al Usuario o
Usuarios que incumplan de manera total o parcial con las condiciones aquí establecidas y/o que realicen acciones o actos
tendientes a:
1. “Asediar" o de otra manera acosar o molestar a otros Usuarios;
2. Hacerse pasar como representante o empleado de Hilos, realizando declaraciones falsas o de otro modo erróneas
de su vinculación con Hilos;
3. Recopilar o almacenar datos personales de otros usuarios en relación con la conducta y las actividades prohibidas;
4. Falsificar encabezados o manipular identificadores de la Plataforma, con la finalidad de ocultar el origen de los
Contenidos;
5. Cargar, publicar, enviar por correo electrónico, transmitir o proporcionar de otro modo, cualquier contenido respecto
del cual no tenga derecho a transmitir, en virtud de los términos contenidos en la Ley Federal de Protección a la
Propiedad Industrial (“LFPPI”), la Ley Federal del Derecho de Autor (“LFDA”), y la Ley Federal de Protección de
Datos Personales en Posesión de Particulares (“LFPDPPP”) o de relaciones contractuales protegidos por
convenios de confidencialidad y no divulgación;
6. Cargar, publicar, enviar por correo electrónico, transmitir o proporcionar de otro modo, materiales que contengan
virus informáticos o cualquier otro código informático, archivos o programas diseñados para interrumpir, destruir o
limitar la funcionalidad del software, hardware o de equipos de telecomunicaciones conectados a la Plataforma;
7. Hacer uso de la Plataforma de una manera que pudiera dañar, deshabilitar, recargar o alterar los servidores de Hilos
o las conexiones de redes;
8. Ignorar requisitos, procedimientos, políticas o normas de redes conectadas a la Plataforma que pudieran interferir
con el uso y goce de la Plataforma por parte de cualquier tercero; y
9. Acceder de manera no autorizada a cuentas, sistemas informáticos o redes conectadas a los servidores de Hilos, a
través de ataques propios de piratas informáticos, el descifrado de contraseñas o cualquier otro método para
obtener o tratar de obtener materiales o información con cualquier medio que no se ofrece intencionalmente a
través de la Plataforma.
El Usuario acepta indemnizar y mantener en paz y a salvo a Hilos y sus funcionarios, agentes, empleados, socios,
proveedores y licenciantes frente a cualquier reclamo o demanda, así como a cubrir los honorarios razonables de abogados,
que promueva cualquier tercero en contra de Hilos a causa del contenido que el Usuario envíe, publique, transmita o

proporcione de un modo distinto al previsto en la Plataforma. Lo anterior, sin perjuicio del derecho de Hilos de realizar las
acciones judiciales necesarias para reclamar los daños y perjuicios que dichas acciones por parte del Usuario pudieran
causarle.
Responsabilidad respecto a los Contenidos. Hilos no asume responsabilidad alguna derivada, de manera enunciativa más
no limitativa de: (i) La utilización que el Usuario pueda hacer de los materiales de esta Plataforma, o de los Contenidos, o de
los sitios web de enlace, ya sean prohibidos o permitidos, en infracción de los derechos de propiedad intelectual y/o
industrial de contenidos de la web o de terceros; (ii) Los eventuales daños y perjuicios al Usuario causados por un
funcionamiento normal o anormal de las herramientas de búsqueda, de la organización o la localización de los Contenidos
y/o acceso a la Plataforma y, en general, de los errores o problemas que se generen en el desarrollo o instrumentación de
los elementos técnicos que la Plataforma facilite al Usuario; (iii) Los contenidos de aquellas páginas a las que el Usuario
pueda acceder desde enlaces incluidos en la Plataforma, ya sean autorizados o no; (iv) Los actos u omisiones de terceros,
independientemente de la relación que dichos terceros pudieran tener con Hilos; (v) el acceso de menores de edad a los
Contenidos, así como el envío de información personal que estos pudieran realizar; (vi) las comunicaciones o diálogos en el
transcurso de los debates, foros, chats y comunidades virtuales que se organicen a través de o en torno a la Plataforma de
enlace, ni responderá, por tanto, de los eventuales daños y perjuicios que sufra el Usuario a consecuencia de dichas
comunicaciones y/o diálogos; etc.
Responsabilidad respecto a fallas tecnológicas. Hilos no será responsable en forma alguna, cuando se produzcan: (i)
Errores o retrasos en el acceso a la Plataforma a la hora de introducir los datos en el formulario de solicitud, la lentitud o
imposibilidad de recepción por parte de los destinatarios de la confirmación de la solicitud o cualquier anomalía que pueda
surgir cuando tales incidencias sean debidas a problemas en la red Internet, caso fortuito o fuerza mayor o cualquier otra
contingencia imprevisible ajena a Hilos; (ii) Fallos o incidencias que pudieran producirse en las comunicaciones, ya sea
borrándose o por transmisiones incompletas, de manera que no se garantiza que los servicios de la Plataforma estén
constantemente operativos; (iii) De los errores o daños producidos a la Plataforma por un mal uso del servicio por parte del
Usuario; (iv) De la no operatividad o problemas en la dirección de correo electrónico facilitada por el Usuario para el envío de
la confirmación de la solicitud realizada. En todo caso, Hilos se compromete a solucionar los problemas que puedan surgir y
a ofrecer todo el apoyo necesario al Usuario para llegar a una solución rápida y satisfactoria de la incidencia. Asimismo,
Hilos tiene derecho a realizar durante intervalos temporales definidos, campañas promocionales para promover el registro
de nuevos miembros en su servicio. Hilos se reserva el derecho de modificar las condiciones de comercio electrónico, así
como proceder a la exclusión de cualquiera de los términos allí contenidos.
8. DE LOS DATOS SOLICITADOS
El Usuario reconoce y acepta que, para el cumplimiento del objetivo de la Plataforma, será necesario que Hilos recabe
datos personales y datos personales sensibles, a fin de incluirla en formatos, listados, bases de datos u otros medios
físicos, digitales y/o electrónicos, para llevar a cabo el registro adecuado de los mismos y ofrecer los Servicios. Hilos no se
responsabiliza de las consecuencias que pudieran derivarse de la omisión, consciente o inconsciente, hecha por parte del
Usuario al respecto.
Por tal motivo, mediante la aceptación a los presentes Términos, el Usuario renuncia expresamente a presentar cualquier
tipo de reclamación, demanda, juicio o procedimiento legal ante cualquier autoridad mexicana o extranjera en contra de
Hilos, así como cualquier persona relacionada y/o afiliada a Hilos, incluyendo, sin limitar, directores, apoderados,
representantes, administradores, empleados, accionistas y/o agentes, presentes o anteriores, por cualquier acto que se
derive, o pudiere derivar, del uso de la Plataforma y de los Servicios, o de cualquier servicio derivado de dicho uso.
9. DATOS DE CARÁCTER PERSONAL
En cumplimiento a los términos previstos en la LFPDPPP, Hilos, como responsable del tratamiento de sus datos personales,
hace del conocimiento del Usuario que la información que el Usuario provea en esta Plataforma será tratada de
conformidad con lo indicado en el Aviso de Privacidad contenido en la Plataforma. Para utilizar o gozar de algunos de los
Contenidos, es necesario que el Usuario proporcione previamente a Hilos ciertos datos de carácter personal (“Datos
Personales”).
Al acceder a la Plataforma, o a cualquiera de los Contenidos en que los Datos Personales son requeridos, el Usuario está
autorizando a Hilos a realizar análisis y estudios con base en ellos. El Usuario se obliga a proporcionar Datos Personales
verdaderos y fidedignos. En caso de que el Usuario diera información falsa o confusa, Hilos no asume responsabilidad
alguna de los resultados que dichos actos ocasionen al Usuario, teniendo la facultad de negar el acceso a la Plataforma y
sus Contenidos, sin perjuicio de que pueda requerir las indemnizaciones a que hubiere lugar.
10. MANEJO DE LOS DATOS E INFORMACIÓN
Toda la información que el Usuario proporcione, durante su acceso a la Plataforma, es de carácter estrictamente
confidencial y será manipulada únicamente por personal interno de Hilos. Tal y como se refiere en el Aviso de Privacidad, los
Datos Personales de los Usuarios podrán encontrar como fin primario o secundario la promoción de servicios, por lo cual el
Usuario, en este acto autoriza y manifiesta su aceptación en la utilización de sus datos para fines estadísticos,
promocionales y de mercadotecnia, así como cualquier otro establecido en el presente documento o en el multicitado Aviso
de Privacidad.
11. INDICADORES DE DATOS

La información que el Usuario provea en la Plataforma, real o histórica, se procesa y ordena, para que genere indicadores
de datos, mismos que Hilos podrá usar para tomar decisiones pertinentes a su negocio, siempre de manera estadística y no
individualizada. El Usuario, en este acto, autoriza el acceso a Hilos a la información proporcionada y generada en la
Plataforma, en términos del presente documento y del Aviso de Privacidad.
12. DE LA INFORMACIÓN PROVISTA POR EL USUARIO
El Usuario reconoce y acuerda que Hilos puede, durante la vigencia de los Servicios, depender de o usar datos, material u
otra información entregada por el Usuario, y que para ello no requieren investigación independiente alguna o verificación,
por lo que Hilos estará facultado para basarse en la exactitud y plenitud de dicha información para prestar los Servicios. El
Usuario es responsable de la información que comparten a terceros y a quiénes es compartida, por lo cual se deslinda en
este acto de cualquier responsabilidad presente o futura a Hilos.
Asimismo, toda la información que el Usuario publiquen por cualquier otro medio pierde de manera inmediata y para
siempre el carácter de secrecía y confidencialidad, liberando de toda responsabilidad a Hilos respecto a su uso y
divulgación, sujeto a los términos y condiciones establecidos en el Aviso de Privacidad, cuando aplique.
13. RESPONSABILIDAD Y CALIDAD EN LA PRESTACIÓN DE LOS SERVICIOS
El Usuario reconoce que la Plataforma es una herramienta tecnológica que es un medio para que el Usuario pueda
desarrollar una actividad específico, por lo cual acepta que Hilos no garantiza la calidad, idoneidad y/o disponibilidad de los
servicios brindados o solicitados a través del uso de la Plataforma y/o mediante su uso. El Usuario expresamente reconoce
y acepta todos y cada uno de los riesgos derivados del uso de la Plataforma, liberando a Hilos de cualquier responsabilidad
presente o futura que se pudiera presentar. En este sentido, Hilos no será responsable frente al Usuario, o cualquier persona
relacionada a este, por cualquier tipo de daño o reclamo derivado de deficiencias en los Servicios, o por cualquier error,
omisión y/o falsedad en la información proporcionada por el Usuario, ya sea a través de la Plataforma o cualquier otro
medio.
14. EXCLUSIÓN DE GARANTÍAS Y DE RESPONSABILIDAD
El Usuario es el único responsable del uso que haga a la Plataforma y su Contenido. El Usuario reconoce que la información
de la Plataforma y de los Servicios se proporcionan “como están”, sin ninguna garantía expresa o implícita de
comerciabilidad o de aptitud para un fin determinado. Hilos no garantiza la precisión ni la integridad de la información,
textos, gráficos, enlaces u otros elementos contenidos en la Plataforma o Contenido. Hilos no garantiza la operación
ininterrumpida o libre de todo error de la Plataforma y/o su Contenido. Puesto que toda la información referida en la
Plataforma y su Contenido se encuentra en la nube, Hilos no controla ni garantiza la ausencia de virus en los Contenidos, ni
la ausencia de otros elementos en los Contenidos que puedan producir alteraciones en el sistema informático del Usuario
(software y/o hardware) o en los documentos electrónicos almacenados en su sistema informático.
Todo material descargado u obtenido de un modo distinto al previsto en la Plataforma, será bajo responsabilidad y riesgo
único del Usuario, respecto de los daños que pudiera causar en el sistema informático del dispositivo a través del cual
realice su conexión y/o la pérdida de datos que derive de la descarga de ese material. En ningún caso, ni Hilos ni sus
proveedores serán responsables de daño alguno derivado del uso de la Plataforma o Contenido, o de no poder usarlos (EN
PARTICULAR, SIN LIMITACIÓN ALGUNA, DE LOS DAÑOS DIRECTOS O INDIRECTOS, MORALES, INCIDENTALES,
EXCESIVOS, REMOTOS Y/O EVENTUALES, PERJUICIOS, LUCRO CESANTE, INTERRUPCIÓN DE LA ACTIVIDAD
COMERCIAL O PÉRDIDA DE INFORMACIÓN O DATOS Y/O INFRACCIONES DE SEGURIDAD), aún cuando se hubiera
advertido a Hilos de dicha posibilidad.
15. USO DE COOKIES
Hilos informa al Usuario que, mediante el uso de cookies y tecnologías similares, busca: i) Garantizar la mejor experiencia
posible en la Plataforma; y ii) Proporcionar al Usuario información sobre sus preferencias de servicios y de mercadeo,
ayudándolo así a obtener la información adecuada. En caso de que el Usuario requiera de mayor información respecto al
uso de cookies y tecnologías similares, Hilos pone a su disposición la Política de Uso de Cookies.
16. COMPATIBILIDAD DE LOS DISPOSITIVOS ELECTRÓNICOS
El Usuario será responsable de obtener los dispositivos o hardware que sean compatibles con la Plataforma y los Servicios,
toda vez que Hilos no garantiza que estos funcionen correctamente en cualquier dispositivo. De igual manera, el Usuario
acepta no utilizar dispositivos, software o cualquier otro medio tendiente a interferir tanto en las actividades y/u operaciones
de los Servicios o en la Plataforma o en las bases de datos y/o información que se contenga en el mismo.
17. MANTENIMIENTO DE LA PLATAFORMA
Para llevar a cabo trabajos de mantenimiento, Hilos se reserva el derecho de suspender el acceso y/o modificar el
Contenido, así como a eliminar o deshabilitar el acceso a la Plataforma o a los Servicios, sin previo aviso. El acceso a la
Plataforma y los Servicios depende de la disponibilidad de la red que tenga el Usuario, por lo que Hilos no será responsable
por cualquier imposibilidad de acceder a la misma, derivada de circunstancias que se encuentren fuera de control de Hilos,
así como por caso fortuito o de fuerza mayor. Hilos, cuando lo considere necesario para el correcto funcionamiento de la
Plataforma, podrá realizará los parches, actualizaciones, correcciones de “bugs” y mejoras menores a la Plataforma.

18. SOPORTE
Hilos ofrece al Usuario el servicio de soporte técnico y para la utilización de las herramientas y las funcionalidades de la
Plataforma, pudiendo ser por vía Chat en Línea, chat por WhatsApp, correo electrónico, o cualquier otro medio que Hilos
considere conveniente y factible, en los horarios indefinidos que de igual forma designe para tal efecto, mediante previo
aviso. Este servicio de soporte básico no tendrá ningún costo adicional. Hilos se reserva el derecho de cobrar por servicios
de implementación de la herramienta. Asimismo, el Usuario que hubiere solicitado el Soporte, acepta y autoriza a Hilos para
tener acceso pleno a toda la información proporcionada en la Plataforma, sin ninguna limitación. En este sentido y en
beneficio del Usuario, Hilos se obliga a guardar plena secrecía y confidencialidad, respecto a la información a la que tenga
acceso.
19. PROPIEDAD INDUSTRIAL Y DERECHO DE AUTOR
Hilos autoriza al Usuario a utilizar la Plataforma, exclusivamente bajo los términos aquí expresados, sin que ello implique
que concede al Usuario licencia o autorización alguna, o algún tipo de derecho distinto al antes mencionado, respecto de la
Propiedad Industrial y Derecho de Autor de Hilos, entendiéndose como ello: todas las marcas registradas y/o usadas en
México o en el extranjero por Hilos; todo derecho sobre invenciones (patentadas o no), diseños industriales, modelos de
utilidad, información confidencial, nombres comerciales, secretos industriales, avisos comerciales, reservas de derechos,
nombres de dominio; así como todo tipo de derechos patrimoniales sobre obras y creaciones protegidas por derechos de
autor y demás formas de propiedad industrial o intelectual reconocida o que lleguen a reconocer las leyes correspondientes.
El Usuario reconoce y acepta que Hilos es legítimo propietario, o tiene los derechos necesarios, sobre la Plataforma,
incluidos los nombres comerciales de Hilos, marcas comerciales, marcas de servicio, logotipos, nombres de dominio y otras
características distintivas de la marca contenidas en ellos (las “Marcas Registradas de Hilos”), independientemente de que
esos derechos estén registrados o no, y de cualquier lugar del mundo en el que puedan existir esos derechos, y que están
protegidos por las leyes y tratados internacionales sobre propiedad industrial y derecho de autor. Por lo anterior, el Usuario
acepta que las Marcas Registradas de Hilos no podrán ser objeto de copia, reproducción, modificación, publicación, carga,
envío, transmisión o distribución en modo alguno. Salvo indicación expresa en contrario en este documento, Hilos no
concede al Usuario ningún derecho expreso ni implícito en virtud de patentes, derecho de autor, marcas comerciales o
información de secretos industriales. El Usuario reconoce y conviene que la Plataforma, así como todos los diseños del
mismo, son y serán en todo momento, propiedad de Hilos.
Retroalimentación. En caso de que el Usuario proporcione algún comentario a Hilos respecto de la funcionalidad y el
rendimiento de la Plataforma (incluida la identificación de posibles errores y mejoras), en este acto, el Usuario autoriza a
Hilos para que haga uso, sin restricción, de todos los derechos, títulos e intereses sobre los comentarios expresados. Lo
anterior, sin que ello se considere como un derecho moral del Usuario para requerir participación o retribución monetaria
alguna, o restricción en el uso de dichos comentarios para su explotación por parte de Hilos.
20. OTRAS DISPOSICIONES
El Usuario acepta que una versión impresa de los presentes Términos, y de cualquier comunicación enviada y/o recibida en
forma electrónica, será admisible como medio probatorio en cualquier procedimiento judicial y/o administrativo.
21. MODIFICACIÓN DE LOS TÉRMINOS Y CONDICIONES DE USO DE LA PLATAFORMA
Hilos se reserva el derecho de, en cualquier momento, modificar y/o renovar unilateralmente y sin previo aviso los
términos y condiciones de uso de la Plataforma, con la obligación de publicar un mensaje en la Plataforma que contenga
un aviso al Usuario de que han sido realizadas ciertas modificaciones a los Términos. Será derecho exclusivo del Usuario,
el aceptar o rechazar dichas modificaciones. En caso de que el Usuario no esté de acuerdo con las modificaciones
hechas, podrá enviar solicitud de cancelación y terminación de su cuenta en la Plataforma, al Correo Electrónico. Hilos se
compromete a hacer efectiva la cancelación de la cuenta en un plazo no mayor a 30 (treinta) días naturales, a partir de la
fecha de recepción de la solicitud del Usuario.
Asimismo, Hilos se reserva el derecho, en cualquier momento y sin previo aviso, de eliminar o deshabilitar el acceso del
Usuario a la Plataforma. El Usuario siempre dispondrá de los Términos en la Plataforma de forma visible, y libremente
accesible para cuantas consultas quiera realizar. En cualquier caso, la aceptación de estos Términos será un paso previo e
indispensable a la adquisición de cualquier Servicio.
22. DIVISIBILIDAD
En caso de que cualquier término, condición o estipulación contenida en estos Términos se determine ineficaz, ilegal o sin
efecto, el mismo podrá ser excluido del cuerpo del presente y el restante continuará en vigor y efecto en forma tan amplia
como en derecho proceda.
23. ACTUALIZACIONES
Hilos podrá revisar y actualizar, en cualquier momento, estos Términos, manteniendo en todo momento el acceso libre a
todo usuario que desee conocerlo. Hilos se reserva el derecho de modificar, en cualquier momento, la presentación y
configuración de la Plataforma, así como estos Términos. Por ello, Hilos recomienda al Usuario dar lectura atenta cada vez
que acceda a la Plataforma. No obstante lo anterior, el Usuario siempre dispondrá de estos Términos en la Plataforma, de
forma visible y accesible en cualquier momento. Algunas cláusulas de estos Términos pueden estar supeditadas a términos

24. RIGHTS.
Any rights not expressly granted herein are reserved to Hilos.
25. APPLICABLE LAW AND JURISDICTION
In all matters relating to the interpretation and performance hereof, the Parties agree to submit to the
Federal Legislation of Mexico and to the jurisdiction of the competent courts in Mexico City; waiving
any other jurisdiction that, by reason of their present or future domiciles, may correspond to them.
26. DIGITAL, ELECTRONIC OR ONLINE FORM
The Parties agree that the form to perfect the agreement of wills between them is the Digital, Electronic
or Online format, where it will be enough to express their will through the acceptance of these Terms, as well as
provide personal data and banking information on the Platform or in the various applications of
licensors, without requiring the signature on any document.
27. ACCEPTANCE OF THE TERMS
The User acknowledges that by accessing, subscribing and using the Platform, Services and / or Content or derivatives,
manifests its full and unreserved acceptance and, therefore, its adherence to the version of the Terms published in the
time you access the Platform, in terms of the provisions of Articles 1803 and 1834 bis of the Civil Code
Federal, 80, 81, 89 and other relative and applicable of the Commercial Code and applicable law for Mexico. It is
sole and exclusive responsibility of the User, previously read these Terms and its corresponding modifications,
each time you access the Platform. If at any time, the User does not agree, in whole or in part with
these Terms, you must immediately refrain from accessing and using the Platform and the Services provided. Therefore
above, with the acceptance of these Terms, the User expressly consents to be subject to them,
thus entering into an agreement to use the Platform with Hilos, and therefore declares to have read the contents of each and every
one of the provisions and ratifies its contents.
28. TOTAL AGREEMENT
The User acknowledges and agrees that Hilos made available all the information necessary to understand the scope and
features of the Platform and Services. Likewise, he/she declares that, prior to accessing the Platform, he/she analyzed the
characteristics of the Platform and, therefore, agrees with it.
